InterTrust and BackWeb Enable Automatic Delivery of Rich Media While Assuring Control of Content Rights

Industry Leaders to Combine BackWeb's Polite Push Infrastructure and InterTrust's Digital Rights Management Technology for Portals and Media Publishers

SANTA CLARA, Calif. and SAN JOSE, Calif. — June 29, 2000 — InterTrust Technologies Corporation (NASDAQ: ITRU), the MetaTrust Utility™, and BackWeb® Technologies (NASDAQ: BWEB), a leading provider of push for e-business solutions, today announced a strategic alliance designed to allow portal hosts and media publishers to automatically deliver music, video and other content via the Internet – while maintaining control of the digital content rights. Under the terms of the alliance, the two companies will work to integrate BackWeb's Polite™ push infrastructure with InterTrust's digital rights management (DRM) technology, and will jointly promote the two solutions.

When integrated, InterTrust's sophisticated DRM technology and BackWeb's Polite push infrastructure will be used to control digital content rights for all BackWeb-enabled, consumer-oriented content delivery applications and services. BackWeb's patented Polite push technology ensures that users can receive requested digital music, videos or other content with no impact on the performance of other Internet applications such as email, chat, streaming media and browsing. The Forrester Research January 2000 report estimates that the digital download market for music alone will be $450 million by 2002.

"Digital content delivery on the Web is undergoing a revolution, and InterTrust, the MetaTrust Utility and BackWeb intend to be at the heart of it," said Edmund Fish, EVP and chief business officer, InterTrust Technologies Corporation. "Combining the MetaTrust Utility DRM system with BackWeb's Polite push infrastructure allows content publishers to automatically and easily deliver content to consumers, while enabling them to manage content rights and drive transactions."

"Through alliances with industry leaders like InterTrust, BackWeb is helping to forge together the elements necessary to successfully distribute rich media to Web consumers," said Eli Barkat, chairman and CEO of BackWeb Technologies. "We are enthusiastic about the prospects of combining our Polite push technology with InterTrust's DRM, and look forward to the impact that this combination will have on consumers of music, video and other rich media content published on the Web."

Digital rights management (DRM) technologies protect and manage rights and interests in digital information. The MetaTrust Utility DRM platform provides a neutral and interoperable foundation for distributed digital information and event management. It serves as the root source of trust for commerce in digital content. Authors, publishers, enterprises, and other participants are empowered to specify and agree on the rules regarding the use of digital content. InterTrust® technology protects all forms of digital content, ensures persistent application of the agreed rules throughout the life cycle of the information, and automates many e-commerce processes related to content use. The MetaTrust Utility DRM platform is a general-purpose system that can be used to manage any content type including music, publications, business information, video, games, software and images.

Fast becoming a de facto Internet standard, BackWeb's patented Polite push infrastructure allows companies to create truly proactive consumer and e-business portals that automatically and seamlessly deliver targeted, one-to-one content – no matter how media-rich or time-sensitive. With BackWeb, portal hosts and content publishers can deliver multimedia-rich digital packages of any size or format, including audio, video, graphics and html. BackWeb's Polite Agent™ avoids disrupting the consumer by using only available bandwidth and politely delivering the information in the background.
