BackWeb Technologies Files Registration StatementSAN JOSE, Calif. — March 30, 2000 — BackWeb® Technologies (Nasdaq: BWEB) today announced that it has filed a Registration Statement on Form S-1 with the U.S. Securities and Exchange Commission to register 1,514,104 ordinary shares held by selling shareholders pursuant to an investor rights agreement connected with the initial public offering effective June 6, 1999. The selling shareholders are composed mainly of former shareholders of Lanacom Inc., a Canadian company acquired by BackWeb Technologies in August 1997. The offering will not be underwritten and the Company will not receive any proceeds from the offering. The S-1 Registration Statement has not yet become effective and the securities to be registered under the S-1 Registration Statement may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
